Terms of Use

Welcome to Blackbox. These terms govern your use of the Blackbox mobile application (the "Application" or the "Service"). By creating an account or using the Application, you accept these terms. If you do not agree with them, do not use the Service.

1. Publisher

The Application is published by Tomas Cikanauskas, sole trader — 31 avenue George V, 06000 Nice, France. SIREN 850 393 976.

2. Purpose of the Service

Blackbox is a "team kitty" management tool for sports teams. It lets you:

  • define rules and penalties (fines) within a team;
  • record and track penalties, payments and member balances;
  • manage seasons (opening, closing, resetting accounts);
  • invite members by link or QR code and assign roles (manager, sheriff, treasurer).

3. Blackbox is not a payment service

The Application does not collect, hold or transfer any funds. The amounts shown (fines, balances, kitty) are purely declarative and are recorded by team members themselves. Actual payments take place outside the Application, by whatever means the team chooses. Blackbox is not a payment institution within the meaning of the French Monetary and Financial Code and is not subject to any ACPR authorisation. The sums involved are a private arrangement between team members; the publisher is not a party to that arrangement and does not intervene in payment disputes between members.

The only exception is the Season Pass (section 4), an in-app purchase paid to Apple or Google. It is not a flow of money between members, but the price of a feature of the Application.

4. Season Pass (in-app purchase)

4.1 Free version and trial

The Application is free. Every season comes with a 60-day trial period starting from its creation, during which the number of entries is unlimited.

After the trial, the season remains usable for free up to a limit of 15 entries per calendar month (Paris time): penalties, payments, donations, withdrawals and credits. Entries generated automatically by the Service (opening and closing fees, management fees, interest, pass activation) do not count towards the limit.

4.2 Nature and scope of the Pass

  • The Season Pass is a one-off, non-renewing purchase ("consumable"). It is not a subscription: there is no automatic renewal and no recurring charge.
  • It removes the entry limit for one specific season of one specific team, for 365 days from the date of purchase.
  • It is attached to the season, not to the person who buys it: every member of the team benefits from it for that season. It cannot be transferred to another season or team, nor assigned to a third party.
  • Creating a new season opens a new free period; removing the entry limit again requires a new purchase.
  • Only the team manager can buy the Season Pass.

4.3 Price and seller

  • The price of the Season Pass is €39.99 incl. tax, for guidance. The binding price is the one displayed in the App Store or Google Play at the time of purchase, in your currency and inclusive of all taxes.
  • The purchase is concluded with Apple (App Store) or Google (Google Play), who collect the payment, apply the applicable taxes and issue the receipt. The publisher receives no payment card data (see the Privacy Policy).
  • The price may change for the future. Any change has no effect on passes already purchased.

4.4 Right of withdrawal

The Season Pass is digital content supplied immediately after purchase. By confirming the purchase, you expressly request its immediate performance and acknowledge that you lose your 14-day right of withdrawal as soon as the pass is activated, in accordance with article L.221-28, 13° of the French Consumer Code.

4.5 Refunds

  • Since the payment is collected by Apple or Google, any refund request goes through them: reportaproblem.apple.com for iOS, the "Order history" page of Google Play for Android.
  • The publisher cannot directly refund a sum it never received, but can support a legitimate request with the store: contact@blackboxapp.fr.
  • If a refund is granted, the pass is deactivated and the season reverts to the free version terms (section 4.1).

4.6 Loss of the Pass

The Season Pass is lost, with no refund from the publisher, if the season it is attached to is closed or deleted before it expires. The Application shows an explicit warning before either action; it is up to you to take it into account.

4.7 Getting the money back from your team

The manager who paid for the pass may, if they wish, be reimbursed from the team kitty: either as a credit on their account, or by withdrawing the equivalent in cash from the kitty. These operations are simply internal team entries: no funds pass through the publisher, who is not a party to that arrangement (section 3). If the store later refunds the purchase, the credit is automatically reversed by the Application; a cash withdrawal already made is not, and it is up to the team to settle its kitty.

5. Account and access

  • Accounts are created by email, using a one-time login code (passwordless sign-in).
  • You must provide a valid email address that belongs to you and keep access to your mailbox secure: any action taken from your account is deemed to have been taken by you.
  • The Service is reserved for people aged 15 and over. If you are under 15, the consent of a holder of parental authority is required (art. 45 of the French Data Protection Act).
  • The Application is provided for personal, non-commercial use, in the context of sports team life.

6. Roles and how teams work

Each team is administered by its own members:

  • Manager: creates the team, defines rules and roles, opens and closes seasons, can do everything.
  • Sheriff: adds penalties according to the team's rules.
  • Treasurer: confirms declared payments and manages the kitty.

Rules, prices, multipliers and penalties are defined freely by the team, under the responsibility of the manager. The publisher exercises no control over their content and is not responsible for how they are applied within the team.

7. Rules of use

You agree not to:

  • use the Service for unlawful purposes, in particular to organise betting, gambling or any regulated fundraising;
  • publish content (team names, nicknames, rule or penalty labels) that is insulting, defamatory, discriminatory, harassing or otherwise unlawful;
  • impersonate anyone or create an account for another person without their agreement;
  • attempt to access other teams' data without authorisation, disrupt the Service or circumvent its security measures;
  • extract or reuse data from the Service on a massive scale.

Any unlawful content can be reported to contact@blackboxapp.fr. In accordance with Regulation (EU) 2022/2065 ("DSA"), reports are reviewed diligently and may lead to removal of the content and to suspension or deletion of the account concerned; the decision is explained to both the reporter and the user concerned.

8. User content

Content entered in the Application (rules, penalties, transactions, nicknames, team names) remains the property of its authors. You grant the publisher a non-exclusive licence, limited to hosting, displaying and backing up that content, strictly as necessary to operate the Service. You warrant that you hold the rights to the content you publish.

9. Intellectual property

The Application, its brand, logo, interfaces and code are protected by intellectual property law and remain the exclusive property of the publisher. Nothing in these terms grants you any right over those elements, beyond the personal right to use the Application for its intended purpose.

10. Availability, updates and changes to the Service

  • The Service is provided "as is", with no commitment of permanent availability. Maintenance interruptions may occur.
  • Updates may be deployed automatically; some may be mandatory in order to keep using the Application.
  • The publisher may change, suspend or discontinue all or part of the Service. If it is discontinued permanently, users will be informed with reasonable notice allowing them to retrieve their data (art. 16 of Regulation (EU) 2019/1150 does not apply; notice is given as good practice).

11. Liability

  • The publisher is liable for direct damage caused by a proven breach of its obligations, under the conditions of general law. Nothing in these terms excludes liability that cannot be limited by law (gross negligence, wilful misconduct, personal injury).
  • The publisher is not responsible for amounts, debts or financial disputes between members of a team, nor for the accuracy of the data entered by users.
  • The publisher is not responsible for malfunctions attributable to the user's device, their network, or to force majeure.

12. Suspension and deletion of accounts

You can delete your account at any time from the Application or by writing to contact@blackboxapp.fr. The publisher may suspend or delete an account in the event of a serious or repeated breach of these terms, after reasoned notice except in urgent cases (manifestly unlawful content, security breach). Deleting an account erases personal data under the conditions described in the Privacy Policy.

13. Changes to these terms

These terms may be amended, in particular to follow changes in the Service or in regulations. In the event of a substantial change, you will be informed in the Application or by email at least 15 days before it takes effect. If you do not accept the new terms, you can delete your account; continuing to use the Service constitutes acceptance.

14. Governing law and disputes

These terms are governed by French law. In the event of a dispute, contact contact@blackboxapp.fr first: most problems are settled amicably, and the publisher undertakes to respond to any complaint within one month. Failing an amicable resolution, the French courts have jurisdiction under the conditions of general law; if you are a consumer, you may bring proceedings before the court of your place of residence.

15. Language

This English version is provided for convenience. In the event of any discrepancy, the French version of these terms prevails.
